Brief Article on Company Incorporation Procedure
Amalgamation / Mergers :
Under the Companies Act, jurisdiction vests with the High Court as Company Court to approve any kind of scheme/ arrangement or compromise made by the company with its members or its creditors. The procedure for Amalgamation/Merger is prescribed under Companies Act and Rules framed there under. Once the High Court approves such scheme of amalgamation or merger, it is binding on all concerned. We conduct entire procedure of amalgamations and mergers till its approval by the High Court.
Liquidations / Winding Up :
A company ceases to exist upon its liquidation. There are several reasons for which a company can be wound up i.e. members voluntary winding up, creditors petition for winding up etc. Jurisdiction for ordering liquidation is vested with the High Court as Company Court. Once the Court orders winding up, the company and all its assets etc. vests with the Official Liquidator. We conduct the entire procedure for winding up.
