WAIVER

GOVERNING LAW
  • The validity, construction and performance of this Agreement shall be governed by Laws of [India]
  • Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts at Judicature [Ahmedabad, India] to which the parties to this Agreement hereby exclusively and unequivocally submit.
  • Provided that if in the opinion of Vnmlaws where any Judgment, Decree, Order, Award, or Writ if passed by any Competent Court, Arbitrator or Tribunal of Ahmedabad, India, may not be effectively enforced in the Jurisdiction where User resides or carries on his work, or at place where such is required to be effectively enforced against the User, then notwithstanding anything contained hereinabove, Vnmlaws may at his discretion and choice bring any action, whether in the form of a Civil, Criminal or Arbitration, in the Jurisdiction where any Judgment, Decree, Order, Award, or Writ is required to be effectively obtained and enforced against the User, and for that purpose the Jurisdiction and Governing Law shall deem to be the place where such action is bought by Vnmlaws against the User. Provisions of this clause shall equally apply where action is required to be bought by Vnmlaws against the User(s) in Multiple Jurisdiction.

ARBITRATION
  • All and any kind of dispute, difference or questions, arising out of or in relations to this agreement, at any point of time, whether during the subsistence or after termination of this Agreement, shall be subject and referred to Arbitration constituted of a Single Arbitrator.
  • Should the User invoke the arbitration clause, then the entire arbitration cost and fees shall be payable by the USER and not by the Vnmlaws. However, should Vnmlaws invoke the arbitration clause, then arbitration fees shall be born equally by both the parties.
  • Arbitrator will be obliged to give reasons for basing his Judgment.
  • Subject to the Provisions contained in Clause (iii) OF GOVERNING LAW , Arbitration proceedings shall be conducted in accordance with the Arbitration Law of India and seat of Arbitrator shall be at [Ahmedabad] state of [GUJARAT]

  • ARBITRATOR SHALL BE APPOINTED BY THE HON'BLE CHIEF JUSTICE OF GUJARAT HIGH COURT AT AHMEDABAD, U/S 11(6) OF THE INDIAN ARBITRATION & CONCILIATION ACT, 1996
  • Notwithstanding anything contained in this Agreement, Provisions contained in this clause shall deem to survive termination/cancellation/rescind/expiry of this Agreement.

ENTIRE AGREEMENT
 Other agreement like Privacy Policy, Disclaimer, Online services Terms of Use posted on the website shall deem to be considered as part and parcel of this Terms of Use and shall deem to be incorporated herewith by reference, and all such agreement posted on the website together with this Term of Use shall all deem to from a single binding agreement between User and Vnmlaws and such shall constitute the complete and exclusive agreement between User and Vnmlaws with respect to the use of this website and any aspect in relation thereto, superseding any prior agreements, documents and or communications regarding the same.

BINDING
