Registration of Foreign Company in India

A foreign company can establish Branch Office / Liaison Office / Project Office / Representative Office etc. in India with the approval of the Reserve Bank. Such foreign company after receiving approval from the Reserve Bank can register their Company as Foreign Company in India pursuant to Section 592 of Companies Act.

For Registration of such Foreign Company Form 44 (Documents delivered for registration by a foreign company) has to be electronically submitted to the Central Government along with the permission letter by the Reserve Bank along with requisite stamp duty and other mandatory documents. The eForm has to be digitally signed by authorized representative of the foreign company. There is no need to apply and obtain DIN for Directors of a foreign company but the DSC of the authorized representative is mandatory, which again is not required to be registered on MCA Application
